第一条 为了持续优化营商环境,激发市场主体活力,维护市场主体合法权益,推动经济高质量发展,推进政府治理体系和治理能力现代化建设,将肇庆建设成为珠三角核心区西部增长极和粤港澳大湾区现代新都市,根据国务院《优化营商环境条例》等法律、法规,结合本市实际,制定本条例。




第二条 优化营商环境应当遵循市场化、法治化、国际化原则,以市场主体需求为导向,以政府职能转变为核心,加强服务型政府建设,创新体制机制,降低制度性交易成本,完善法治保障,为各类市场主体投资兴业营造稳定、公平、透明、可预期的发展环境。




第三条 市场主体在经济活动中权利平等、机会平等、规则平等。




市场主体的财产权利、经营自主权及其他合法权益受法律保护,依法保护企业经营者的人身权利和财产权利。




市场主体享有知悉法律、政策,获取公共服务以及对营商环境相关领域工作进行监督、投诉、举报并获得及时处理的权利。




市场主体应当遵守法律、法规,履行法定义务,恪守社会公德和商业道德,诚实守信、公平竞争,共同营造健康有序的营商环境。




第四条 市、县(市、区)人民政府应当加强对优化营商环境工作的组织领导,其主要负责人是优化营商环境工作第一责任人。统筹推进营商环境改革,制定完善优化营商环境政策措施,解决影响营商环境的重点、难点问题。




市、县(市、区)人民政府根据实际明确优化营商环境工作主管部门,具体负责组织指导、统筹协调、督促检查、考核评价等日常工作。其他有关部门按照职责分工做好优化营商环境工作。




第五条 市、县(市、区)人民政府应当加强数字政府建设,统筹推进各行业各领域政务应用系统集约建设、互联互通、协同联动;推动政务数据的收集、分类、共享、应用和安全保障的标准化、规范化建设,推进政府履职和政务运行数字化转型,提升行政效能。




第六条 本市应该加强与粤港澳大湾区城市优化营商环境的交流合作,推进在制度建设、工作机制和改革举措等方面对接,推动市场规则衔接和政务服务协作,实现政务服务标准统一、资质互认、区域通办。




第七条 市、县(市、区)人民政府及其有关部门应当及时总结、复制、推广行之有效的经验和做法,并结合本地实际,在法治框架内积极探索原创性、差异化的优化营商环境改革措施;对探索中出现失误或者偏差,同时符合下列条件的,依法可以予以免责或者减轻责任:


(一)符合国家、省和市确定的改革方向和政策取向;


(二)决策及其执行程序符合法律、法规规定;


(三)勤勉尽责且未谋取非法利益;


(四)未恶意串通损害公共利益和他人合法权益;


(五)未造成重大损失和社会负面影响。




法律、法规另有规定的,从其规定。




第八条 市、县(市、区)人民政府可以根据城市功能定位、发展规划以及生态环境安全等相关规定,按照规定的权限和程序制定产业引导政策,并向社会公布。




市、县(市、区)人民政府应当完善产业链供需平台建设,推动产业链上下游企业协作配套,促进产业合作交流,为企业生产经营提供便利。




鼓励市场主体实施碳达峰、碳中和行动。市、县(市、区)人民政府应当出台相关政策措施对推动碳中和等绿色低碳技术革新和应用、发展可再生能源利用的市场主体,予以鼓励支持。




市、县(市、区)人民政府自然资源、农业农村、生态环境、金融、投资促进、电力管理等部门应当建立健全土地规划、土地供应、生态环境安全、金融支持、招商引资、用电需求等信息互联互通机制,指导、服务企业办理项目落地所需的审批事项,促进企业落地投产。




第九条 本市推行新开办企业全流程“一网通办、一窗通取”。申请人可以通过市、县(市、区)人民政府行政服务大厅的综合服务窗口或者网上服务平台申办营业执照、公章刻制、发票申领、社保登记、住房公积金缴存登记、银行预约开户等业务,一次性领取营业执照、印章、发票、税控设备等。




市、县(市、区)人民政府相关部门应当探索推动市场主体名称、住所、法定代表人、注册资本等变更(备案)登记与其他涉企事项变更联动办理,提升办事便利度。




市、县(市、区)人民政府市场监管部门应当根据市场主体自主申报的经营范围,明确告知市场主体需要办理的许可事项,同时将需要申请许可的市场主体信息告知相关主管部门。相关主管部门应当依市场主体申请及时办理涉企经营许可事项,并将办理结果及时反馈市场监管部门。




市、县(市、区)人民政府应当组织相关部门对市场主体生产经营高频办理的许可事项、资质证明等政务服务事项进行梳理,并推动相关事项实现跨区域办理。




第十条 本市实行市场主体住所(经营场所)登记申报承诺制、一址多照、一照多址登记,简化市场主体住所登记条件。




第十一条 市场主体可以通过广东省企业注销网上服务专区平台申请注销,由市场监督管理、税务、人力资源和社会保障等部门分类处置、并联办理相关事项。




市场主体(上市股份有限公司除外)未发生债权债务或者已将债权债务清偿完结,未发生或者已结清清偿费用、职工工资、社会保险费用、法定补偿金、应缴纳税款(滞纳金、罚款),并由全体投资人书面承诺对上述情况的真实性承担法律责任的,可以按照简易程序办理注销登记。




市场主体注销依法须经批准的,或者市场主体被吊销营业执照、责令关闭、撤销,或者被列入经营异常名录的,不适用简易注销程序。




第十二条 本市依托粤商通设立“全肇办”涉企移动网上政务服务专区,实行产业项目审批代办服务、涉企法律法规政策查询、产业用地查询、金融服务、中介服务、信用查询、电子证照和投诉建议等一站式服务。




第十三条 市、县(市、区)人民政府应当推进市场主体年度报告涉及社保、市场监管、税务、海关等事项的多报合一制度。




第十四条 市、县(市、区)人民政府及其有关部门应当在政务服务中推广应用电子证照、电子印章、电子签名,并规定证照、签章等电子材料具体业务应用场景,推动电子证照、签章互认共享。




市场主体办理政务服务事项,使用的符合《中华人民共和国电子签名法》规定条件的电子签名,与手写签名或者盖章具有同等法律效力;电子印章与实物印章具有同等法律效力;电子证照与纸质证照具有同等法律效力,可以作为法定办事依据和归档材料。法律、法规另有规定的除外。




第十五条 市、县(市、区)人民政府及其有关部门应当制定并公布容缺受理政务服务事项清单,明确事项名称、主要申报材料、次要申报材料、容缺补正时限等内容。容缺受理政务服务事项清单实行动态管理。




申请人申请容缺受理的,应当提交《申请容缺受理承诺书》。行政机关在收到书面承诺后,对主要申请材料齐全且符合法定形式的,应当先予受理并一次性告知申请人需要补充的材料、补交期限及法律后果。申请人可以通过网络、邮政寄递或承诺书约定的其他方式在承诺时限内补正容缺受理材料。




申请人在承诺时限内补齐所有容缺材料,经审查符合法定要求的,行政机关应当在承诺办理时限内出具办理结果。




申请人在承诺时限内不能补正全部材料或所补正的材料不符合要求的,容缺受理政务服务事项终止办理,申请材料经窗口退回申请人。




第十六条 被省、市人民政府及其有关部门列入告知承诺事项清单的证明事项和涉企经营许可事项,申请人可以自主选择提供相关材料或者采用告知承诺制办理。申请人有较严重的不良信用记录或者存在曾作出虚假承诺等情形的,在信用修复前不适用告知承诺制。




申请人选择采用告知承诺办理的,相关部门应该在收到申请后,向申请人书面告知下列内容:


(一)行政审批事项或者证明材料的名称、所依据的主要法律、法规、规章的名称和相关条款;


(二)准予行政审批或者有效证明应当具备的条件、标准和技术要求;


(三)需要申请人提交材料的名称、方式和期限;


(四)行政机关核查权力;


(五)申请人作出承诺的时限和法律效力,以及逾期不作出承诺、作出不实承诺和违反承诺的法律后果;


(六)承诺书是否公开、公开范围及时限;


(七)本部门认为应当告知的其他内容。




相关部门应当依法根据申请人的承诺作出准予许可或者予以证明的决定。相关部门应当加强监管,发现承诺人未履行承诺的,责令其限期整改,整改后仍未达到条件的,撤销决定;作出虚假承诺的,直接撤销决定,依法追究相应法律责任。没有履行告知承诺或者作出虚假承诺的情况应当依法纳入公共信用记录,作为差异化监管的重要依据。




第十七条 本市鼓励和支持各地区、各部门结合实际情况,在法治框架内积极探索工程建设项目审批制度改革,落实“放管服”改革要求,实现便利、高效审批。




相关行政主管部门应加强对工程建设项目的事前服务、事中监督、事后执法。




第十八条 本市全面推行工程建设项目分级分类管理。市、县(市、区)人民政府有关部门应当根据项目性质、投资规模、风险程度等,公布审批流程图和审批事项清单,明确审批时限和申报材料清单,实行工程建设项目联合审批、多图一审、联合验收。




本市工程建设项目审批实行“前台综合受理、后台并联审批、综合窗口出件”的服务模式。




市、县(市、区)人民政府政务服务中心应当设立统一的工程建设项目审批综合服务窗口。综合服务窗口应当建立为申请人提供工程建设项目审批的全流程咨询、指导、协调服务机制。




立项用地规划许可、工程建设许可、施工许可、竣工验收四个审批阶段的牵头部门负责组织协调本审批阶段的相关部门,依托工程建设项目审批管理系统按照时限完成在线审批,实现信息一次填报、材料一次上传、相关评审意见和审批结果即时推送。




工程建设项目竣工实施限时联合验收的,应当统一验收图纸和验收标准,统一出具验收意见。




工程建设项目测绘事项推行“多测合一”,分阶段整合相关测量测绘事项,实现同一阶段一次委托、成果共享。




市人民政府应当推进公用企业信息化平台与工程建设项目审批管理系统互联互通,将水、电、气、网等涉企生产经营的审批事项接入工程建设项目审批管理系统进行并联审批。




第十九条 市、县(市、区)人民政府自然资源部门及有关部门应当优化对用地规划、项目招商、土地供应、供后管理和退出等各环节的协同监管,实行产业用地全周期管理机制。




市、县(市、区)人民政府应当增强政府土地收储能力,建立健全闲置土地、低效用地清理处置机制,强化土地要素保障。鼓励通过依法协商收回、协议置换、费用奖惩等方式,推动城镇低效用地腾退出清。




鼓励采用长期租赁、先租后让、弹性年期供应等方式供应产业用地。优化工业用地出让年期,完善弹性出让年期制度。




市、县(市、区)人民政府应当有序推行工业用地“标准地”供应。对新建工业项目用地先行完成区域评估及项目开工建设所必需的通水、通电、通路和土地平整等基本条件,按照工业项目固定资产投资强度、亩均税收、容积率、单位能耗标准、单位排放标准等指标出让国有建设用地,提升产业用地配置效率。




在符合国土空间规划且满足安全、环保等要求的前提下,支持混合产业用地供给,鼓励同一地块内工业、仓储、研发、办公、商业服务等用途互利的功能混合布置,促进土地用途混合利用和建筑复合使用。




第二十条 市、县(市、区)人民政府应当健全人才引进、培养评价、激励保障等机制,在住房安置、医疗保障、社会保险、配偶就业、子女入学等方面为高层次人才、高技能人才、紧缺急需人才提供便利服务。




市、县(市、区)人民政府及其教育、科技、人力资源和社会保障等有关部门应当推进教学与产业深度融合,支持普通高等学校、职业学校(技工学校)根据本地产业需求建立校企合作人才培养使用机制。相关部门应当依托产教融合综合信息服务平台,向各类主体提供区域和行业人才供需、校企合作、项目研发、技术服务等信息的发布、检索、推荐、对接等服务。




市、县(市、区)人民政府人力资源和社会保障部门应当加强人力资源服务标准化建设,完善人力资源管理服务,支持有需求的企业创新用工模式,提高人力资源配置效率。




第二十一条 市、县(市、区)人民政府及其有关部门应当建立健全知识产权公共服务体系,完善一站式知识产权公共服务供给机制,指导和帮助市场主体规范内部知识产权管理,提升市场主体创造、运用和保护知识产权的能力。




市人民政府及其有关部门应当建立健全知识产权司法保护与行政保护协同衔接机制,健全跨区域执法协作机制。完善知识产权纠纷多元化解决机制和维权援助机制。




市、县(市、区)人民政府应当完善知识产权信用担保机制和质押融资风险补偿机制,为市场主体的创新科技活动提供支持。




市人民政府应当健全海外知识产权援助机制,健全风险预警和应急处置机制,提升市场主体知识产权保护水平。




第二十二条 市、县(市、区)人民政府及其有关部门应当加强和支持创新创业园区、孵化基地、众创空间等创新创业孵化载体建设,在场所用地、基础设施建设、公共管理服务等方面按照规定给予政策与资金支持,降低市场主体初创成本,提高孵化成功率。




市、县(市、区)人民政府及其有关部门应当优化创新创业服务体系,引导高等学校、科研机构、企事业单位、社会组织和孵化载体建立创新创业成果与行业产业对接长效机制,为创新创业成果转化提供对接渠道、推广应用等服务,加强跟踪支持,推动优秀项目落地发展。




第二十三条 市、县(市、区)人民政府应当在财政扶持、费用减免、金融支持、公共服务等方面制定政策措施,支持中小企业发展。




市、县(市、区)人民政府应当制定和完善引导中小企业专业化、精细化、特色化、创新型发展的政策措施,支持中小企业融入、服务国家、省和市发展战略,推动企业聚焦主业加快转型升级,提升创新能力和发展水平。




市、县(市、区)人民政府及其有关部门应当推动大型企业与中小企业加强创新链、产业链、供应链、数据链等方面合作,支持培育大中小企业融通创新平台和基地,促进大中小企业融通发展。
